1. Premesse e ambito di applicazione<\/strong><\/p>

IT<\/strong> \u2013 Le presenti Condizioni Generali di Fornitura (di seguito \u201cCGF\u201d) disciplinano tutti i contratti di vendita e fornitura di beni, accessori e servizi di manutenzione conclusi tra TWT S.r.l., con sede legale in Rovereto (TN), Italia (di seguito \u201cFornitore\u201d), e il cliente (di seguito \u201cCliente\u201d), salvo diverso accordo scritto.<\/p>

EN<\/strong> \u2013 These General Terms and Conditions of Supply (hereinafter the \u201cGTCS\u201d) govern all contracts for the sale and supply of goods, accessories and maintenance services entered into between TWT S.r.l., with registered office in Rovereto (TN), Italy (hereinafter the \u201cSupplier\u201d), and the customer (hereinafter the \u201cCustomer\u201d), unless otherwise expressly agreed in writing.<\/p>

2. Oggetto della fornitura<\/strong><\/p>

IT<\/strong> \u2013 Il Fornitore progetta, produce e commercializza utensili per macchinari destinati alla produzione di serramenti in legno, nonch\u00e9 accessori, servizi di personalizzazione, assistenza tecnica e manutenzione.<\/p>

EN<\/strong> \u2013 The Supplier designs, manufactures and markets tools for machinery used in the production of wooden windows and doors, as well as accessories, customization services, technical assistance and maintenance services.<\/p>

3. Utensili personalizzati e progettazione<\/strong><\/p>

IT<\/strong> \u2013 TWT S.r.l. fornisce servizi di progettazione e personalizzazione degli utensili sulla base delle specifiche tecniche, disegni, campioni e informazioni fornite dal Cliente, finalizzati all\u2019ottenimento del profilo richiesto.<\/p>

EN<\/strong> \u2013 TWT S.r.l. provides design and customization services for tools based on the technical specifications, drawings, samples and information supplied by the Customer, aimed at achieving the requested final profile.<\/p>

IT<\/strong> \u2013 Il Cliente riconosce che la progettazione di utensili personalizzati avviene esclusivamente sulla base delle informazioni tecniche fornite sotto la propria responsabilit\u00e0. TWT S.r.l. non risponde dell\u2019idoneit\u00e0 del prodotto finale all\u2019uso specifico n\u00e9 dei risultati produttivi o commerciali.<\/p>

EN<\/strong> \u2013 The Customer acknowledges that the design of custom tools is carried out exclusively on the basis of technical information provided under the Customer\u2019s sole responsibility. TWT S.r.l. shall not be liable for the suitability of the final product for the intended use or for production or commercial results.<\/p>

IT<\/strong> \u2013 Il prezzo comprende una (1) sola revisione del progetto iniziale, da richiedersi per iscritto entro i termini indicati e comunque prima dell\u2019avvio definitivo della produzione.<\/p>

EN<\/strong> \u2013 The supply price includes one (1) revision of the initial project, to be requested in writing within the deadline indicated and in any case prior to the definitive start of production.<\/p>

IT<\/strong> \u2013 Ulteriori revisioni o modifiche comporteranno costi aggiuntivi di sviluppo e una revisione dei prezzi e dei tempi di consegna.<\/p>

EN<\/strong> \u2013 Any further revisions or modifications shall entail additional development costs and a revision of prices and delivery times.<\/p>

IT<\/strong> \u2013 Prima dell\u2019avvio della produzione, TWT S.r.l. sottoporr\u00e0 al Cliente la documentazione tecnica del progetto. Il Cliente dovr\u00e0 rilasciare approvazione tecnica formale scritta (\u201cApprovazione Tecnica\u201d). In mancanza di osservazioni entro il termine indicato, il progetto si intender\u00e0 approvato.<\/p>

EN<\/strong> \u2013 Prior to the start of production, TWT S.r.l. shall submit the technical project documentation to the Customer. The Customer shall provide formal written technical approval (\u201cTechnical Approval\u201d). In the absence of written objections within the indicated deadline, the project shall be deemed approved.<\/p>

IT<\/strong> \u2013 L\u2019Approvazione Tecnica costituisce autorizzazione irrevocabile all\u2019avvio automatico della produzione e libera TWT S.r.l. da responsabilit\u00e0 derivanti da specifiche approvate.<\/p>

EN<\/strong> \u2013 The Technical Approval constitutes irrevocable authorization for the automatic start of production and releases TWT S.r.l. from any liability arising from approved specifications.<\/p>

IT<\/strong> \u2013 Gli utensili personalizzati non sono soggetti a diritto di recesso e non possono essere restituiti, salvo difetti imputabili esclusivamente a TWT S.r.l.<\/p>

EN<\/strong> \u2013 Custom tools are not subject to any right of withdrawal and may not be returned, except in the event of defects exclusively attributable to TWT S.r.l.<\/p>

4. Pagamenti (estratto rilevante)<\/strong><\/p>

IT<\/strong> \u2013 Per utensili personalizzati \u00e8 richiesto un acconto minimo del 50% del valore dell\u2019ordine. L\u2019avvio della produzione \u00e8 subordinato all\u2019incasso dell\u2019acconto e all\u2019Approvazione Tecnica.<\/p>

EN<\/strong> \u2013 For custom tools, a down payment of at least 50% of the order value is required. The start of production is subject to receipt of the down payment and the Technical Approval.<\/p>

5. Limitazione di responsabilit\u00e0<\/strong><\/p>

IT<\/strong> \u2013 Salvo dolo o colpa grave, la responsabilit\u00e0 di TWT S.r.l. \u00e8 limitata alla riparazione, sostituzione o rimborso del valore della fornitura. \u00c8 esclusa ogni responsabilit\u00e0 per danni indiretti, fermo macchina o perdita di produzione.<\/p>

EN<\/strong> \u2013 Except in cases of wilful misconduct or gross negligence, TWT S.r.l.\u2019s liability is limited to repair, replacement or refund of the supply value. Any liability for indirect damages, machine downtime or loss of production is excluded.<\/p>

6. Legge applicabile e foro competente<\/strong><\/p>

IT<\/strong> \u2013 Le presenti CGF sono regolate dalla legge italiana. Foro esclusivamente competente: Rovereto (TN), Italia.<\/p>

EN<\/strong> \u2013 These GTCS are governed by Italian law. Exclusive jurisdiction: Court of Rovereto (TN), Italy.<\/p>

7. Clausola di prevalenza linguistica<\/strong><\/p>

IT<\/strong> \u2013 In caso di divergenza interpretativa tra la versione italiana e quella inglese, la versione italiana prevarr\u00e0.<\/strong><\/p>

EN<\/strong> \u2013 In the event of discrepancies between the Italian and English versions, the Italian version shall prevail.<\/strong><\/p>
