Supplier Code of Conduct

1. Introduction and purpose

This Supplier Code of Conduct (hereinafter the “Code”) defines the ethical, social, environmental and governance principles that TWT S.r.l. requests from its suppliers (hereinafter “Suppliers”) in the context of business relationships.

The Code is an integral part of the contracts, purchase orders and service agreements entered into with TWT.

2. Compliance with Laws and Regulations

Suppliers undertake to operate in full compliance with all applicable laws and regulations, including those relating to: – safety of products and industrial processes; – health and safety at work; – environmental protection; – labour law and social security; – anti-corruption and fair competition regulations.

3. Occupational health and safety

Suppliers must guarantee: – safe and healthy working environments; – assessment and management of occupational risks; – adequate staff training; – Compliance with local and international health and safety regulations.

4. Human rights and working conditions

The Suppliers undertake to: – respect fundamental human rights; – exclude any form of child or forced labour; – ensuring equal opportunities and non-discrimination; – respect working hours and remuneration in accordance with applicable laws.

5. Environmental protection

Suppliers are required to: – adopt practices aimed at reducing environmental impact; – properly manage waste, emissions and hazardous substances; – use resources and energy efficiently; – to promote, where possible, sustainable materials and processes.

6. Ethics, integrity and anti-corruption

Suppliers must operate according to the principles of: – honesty, integrity and transparency; – prohibition of corrupt, undue or fraudulent practices; – compliance with fair competition rules; – prevention of conflicts of interest.

7. Confidentiality and Intellectual Property

Suppliers must: – protect all confidential information received from TWT; – use data, drawings and know-how exclusively for the execution of the relationship; – respect the intellectual property rights of TWT and third parties.

8. Quality, traceability and supply chain

The Suppliers undertake to: – guarantee the quality of the goods and services provided; – ensure the traceability of critical materials and processes; – promptly inform TWT in the event of non-compliance or criticality; – extend, where possible, the principles of this Code to its subcontractors.

9. Service activities and relations with end customers

If the Supplier carries out service, assistance or maintenance activities at TWT’s end customers, it must: – act in accordance with TWT’s instructions; – maintain professional behaviour that complies with TWT’s corporate image; – refrain from creating direct relationships or contractual obligations with the end customer; – comply with security and confidentiality regulations.

10. Liability and reporting

Suppliers are responsible for compliance with this Code.

Any violations or non-compliant behavior may be reported to TWT, which reserves the right to take corrective measures, including suspension or termination of the relationship.

11. Monitoring and audits

TWT reserves the right to: – request declarations of conformity; – carry out documentary checks; – assess compliance with the Code in the context of existing relationships.

12. Acceptance of the Code

Acceptance of this Code is an essential condition for establishing and maintaining relations with TWT.

The Supplier declares that it has read and undertakes to comply with the principles contained herein.
